Fornix sells Dutch Allergy Division to ALK-Abelló

Fornix is planning to sell its Dutch Allergy Division to ALK-Abelló. The only condition precedent to which the transaction remains subject is shareholders’ approval.

Following a strategic re-orientation for the Dutch activities of its Allergy Division (Artu Biologicals), Fornix BioSciences announces that it has signed a Share Purchase Agreement with ALK-Abelló regarding the sale of 100% of the shares in the Dutch Allergy Division for a purchase price of EUR 19.6 million in cash. The transaction is intended to become effective on 1 July 2010.

As part of the proposed transaction, all employees, assets and activities currently part of the Dutch Allergy Division will be transferred as per that date. This transfer will include Fornix Chief Scientific Officer Dr. Folkert F. Roossien. The German activities incorporated in Artu Biologicals Deutschland will not be part of the proposed transaction.

Recently the topsector plan Life Sciences & Health was published and presented to Minister Verhagen, of the so-called ELI Ministry. The document is an amazing compressed 60-pager, based on months of hard work by the group of experts chaired by Roel Fonville, and summarizes the conclusions after dozens of 1-to-1 meetings, five regional group sessions with dozens of opinion leaders and after having received over 170 (!) memo's, white papers and letters of intent.
